An important change to UK company law now affects directors and certain shareholders of UK-registered companies. This article explains the change and outlines how Asserson, as an Authorised Corporate Service Provider (ACSP), can support companies through the process.
What has changed?
From 18 November 2025, it is now a legal requirement for all directors and all shareholders holding more than 25% of the shares in a UK company (PSCs) to verify their identity with Companies House.
This new requirement applies to any directors and PSCs.
Each director and person with significant control (PSC) must verify their identity before the company can file its confirmation statement, with many such filings due over the coming months.
Why does this matter?
If the required individuals have not verified their identity by the deadline:
· The company will be unable to file its confirmation statement
· Financial penalties may be imposed
· Directors who fail to comply risk disqualification
How does identity verification work?
You can complete the identity verification process directly with Companies House. However, many people find this process time-consuming and technically challenging, particularly where multiple individuals or overseas parties are involved.
